About Us

History

Rahayu & Partners Law Offices was founded in 2005. Founder and Managing Partner, Sri Rahayu, provides a rock-solid foundation for the firm with her business background, having worked both in-house for international banks as well as for a top-drawer international commercial law firm, where she provided banking legal advisory services to a long list of domestic and international banks.

From 2017 until 2020 the Firm allied with HFW, an international law firm based in London, the United Kingdom. During that time the Firm has undertaken some of the largest and most high-profile cases and transactions for Indonesian businesses operating across a range of industries including energy, mining, commodities, aviation, shipping and maritime, and infrastructure. The Firm’s alliance with HFW has enhanced the ability of our team to provide legal advice to companies looking to participate in both inward and outward-bound international transactions as well as disputes including arbitration.

Attorneys

Sri Rahayu Ayu holds a degree in law from Padjadjaran University, a Master of Laws in Banking and Finance Law from the London School of Economics and Political Science (LSE), University of London, and a Doctorate in Economic Law from the University of Indonesia. Additionally, she is a Chevening Scholar. With a strong background in finance and legal regulations, She brings a unique perspective to her work, providing comprehensive guidance to clients in navigating the complex world of finance. Her in-depth knowledge of finance law allows her to offer strategic advice on financial compliance, risk management, and investment strategies. Driven by her passion for equality and her commitment to helping others succeed, Ayu continues to make a meaningful impact in the fields of finance law and women’s career development.

During her career she held senior positions in the banking industry, working as Counsel, Advisor, or Specialist in Legal and Compliance and Risks. She serves as an Independent Audit, Risk Monitoring, and Governance Committee of PT Bank DBS Indonesia and PT Bank Muamalat Tbk., and Risks Evaluation, Monitoring and Planning Committee of PT Telekomunikasi Indonesia Tbk.

Ayu holds Certified Enterprise Risks and Governance (CERG), Certified Risk Management in the Banking Sector (BSMR), Registered Capital Market Lawyer with the Indonesian Financial Authority (OJK), and Member of the Indonesian Advocate Association (PERADI). She is also an Accessor registered with the Nasional Professional Certification Board (BNSP).

Ayu was named the A-List, Indonesia’s Top 100 Lawyers 2018, 2019, and 2020 by Asia Business Journal.

Provided legal support for the establishment of an Electronic Trading Platform (ETP) service provider in Indonesia, advised the country’s largest Sharia bank on shareholder matters, and handled a broad range of legal issues including policy development and internal procedures. The work also covered corporate commercial transactions, reorganizations, and other strategic initiatives.

Advising on internal trade offer services that support cross-border transactions and global market access, including trade compliance, customs and tariff matters, export controls, and sanctions regulations. They assist clients in structuring international sales and distribution arrangements, navigating trade agreements, managing regulatory risks, and representing clients in trade disputes, investigations, and negotiations with governmental authorities.

Provide legal support across the movement and storage of goods, including drafting and negotiating transportation, freight forwarding, warehousing, and distribution agreements. They advise on regulatory compliance, liability and risk allocation, insurance, multimodal transport, and customs-related issues, as well as handle disputes arising from delays, loss or damage of goods, and supply chain disruptions.
Advise clients on vessel operations and commercial shipping matters, including charter parties, bills of lading, shipbuilding and ship financing. They handle regulatory compliance, marine insurance, port and environmental regulations, and represent clients in maritime disputes such as cargo claims, collisions, salvage, and arrest of vessels, as well as in arbitration and court proceedings.
Advising and support throughout the lifecycle of large-scale projects, including structuring and financing infrastructure developments such as energy, transportation, and public utilities. Their services cover project documentation, public–private partnerships, regulatory and concession matters, risk allocation, lender and sponsor negotiations, and assistance with construction, operation, and refinancing, as well as dispute resolution related to project execution.
Advising clients with a wide range of financing transactions, including syndicated loans, structured finance, Islamic finance, and capital market–related funding. They provide guidance on regulatory compliance, licensing, and prudential requirements, draft and negotiate finance and security documents, advise on restructuring and refinancing, and represent banks, financial institutions, and borrowers in enforcement actions and financial disputes.
Advising on energy, mining, and metals law provide legal support across the development and operation of natural resource projects, including oil and gas, power, mining, and mineral processing. Their services include regulatory and licensing advice, concession and contract structuring, joint ventures, project development and financing, environmental and ESG compliance, as well as dispute resolution and government relations related to resource extraction and energy operations.
Assist clients in navigating competition regulations and investment regimes, including merger control, market conduct assessments, and compliance with antitrust laws.
